Terms of Service

These terms form a binding agreement between you (“Customer”) and MIGLASS OÜ (“we”, “us”) governing use of the milog platform at portal.milog.org and the related website (the “Service”). By creating an account you accept these terms.

2. The Service

milog is software provided as a service for logistics operations: quotes, consignments, tracking, counterparties and CRM, invoicing, customs and tariff calculation, mail and messaging, analytics and related tools. We provide software; we do not act as a carrier, freight forwarder, customs broker or customs agent, and we do not perform transport or customs formalities on your behalf.

The Service is intended for businesses and professionals. It is not offered to consumers, and consumer withdrawal rights do not apply.

3. Accounts

• You must provide accurate registration details and keep them up to date.
• You are responsible for everything done through your account and for the confidentiality of your credentials. We recommend enabling two-factor authentication.
• An account owner may invite team members and controls their access rights. The owner is responsible for the actions of invited users.
• Tell us immediately at info@milog.org if you suspect unauthorised access.

4. Fees and subscriptions

• Paid plans and their prices are shown in the portal before purchase. Unless stated otherwise, prices are exclusive of VAT, which is added where applicable.
• Subscriptions renew for successive periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the paid period.
• Fees already paid for a started period are non-refundable, except where mandatory law provides otherwise or where we have failed to provide the Service.
• Certain features consume usage quotas (for example AI operations or e-mail volume). Applicable limits are shown in the portal.
• If payment fails, we may suspend access after notifying you and allowing a reasonable time to remedy.

5. Your data

• All data you upload or enter remains yours. We claim no ownership of it.
• We use it only to provide the Service, to keep it secure, and as instructed by you.
• Where your data includes personal data about third parties, you are the controller and we act as processor. You are responsible for having a lawful basis, for informing those individuals and for responding to their requests. This applies in particular to optional tracking features such as e-mail read receipts, which are switched off by default.
• You can export your organisation’s data from the portal at any time.
• How we handle personal data is described in our Privacy Policy.

6. Acceptable use

You agree not to use the Service to:

• break any applicable law, including export control, customs and sanctions rules;
• send unsolicited bulk e-mail, or messages to recipients who have not given a valid legal basis for contact, or to conceal the true sender;
• upload malware, or attempt to gain unauthorised access to the Service, other customers’ data or the underlying infrastructure;
• probe, scan, overload or interfere with the Service, or circumvent usage limits, rate limits or access controls;
• infringe intellectual property or privacy rights of others;
• resell or make the Service available to third parties beyond your own organisation and its clients, unless separately agreed in writing.

We may suspend an account that materially breaches this section, and will do so with prior notice where circumstances reasonably allow.

7. Sanctions and restricted jurisdictions

MIGLASS OÜ is an Estonian company and complies with European Union law, including restrictive measures (sanctions). Registration from certain jurisdictions is blocked, and we may refuse or terminate service where provision would breach EU sanctions or export control rules. You confirm that you, your organisation and its beneficial owners are not subject to such measures, and that you will not use the Service to facilitate a transaction that would breach them.

8. Availability and support

We aim to keep the Service available continuously and to give advance notice of planned maintenance. We do not, however, guarantee uninterrupted or error-free operation. No separate service level agreement applies unless we have signed one with you. Support is provided by e-mail at info@milog.org during business days.

9. Third-party services and AI features

The Service integrates external providers (for example AI models, VAT number validation, push notifications and, if you connect them, social networks). Their availability is outside our control.

AI features generate suggestions — texts, classifications, calculations and similar. They can be wrong. Tariff codes, duty estimates, sanctions and compliance hints are informational only, are not legal, tax or customs advice, and must be verified by a competent person before you rely on them. You remain responsible for your declarations and filings.

10. Intellectual property

The Service, its software, design and content are owned by MIGLASS OÜ and protected by law. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, for your own business purposes. You may not copy, decompile, reverse engineer or create derivative works, except to the extent mandatory law permits.

11. Liability

• The Service is provided on an “as is” basis to the extent permitted by law.
• We are not liable for indirect or consequential loss, lost profit, lost business or loss of data beyond our control.
• Our total liability for any claims arising in any 12-month period is limited to the fees you paid for the Service in that period.
• Nothing in these terms limits liability for intent, gross negligence, death or personal injury, or any other liability that cannot be limited under Estonian law.

12. Term and termination

• The agreement runs while your account exists.
• You may stop using the Service and close your account at any time.
• We may terminate for material breach of these terms, or if required by law, with notice where reasonably possible.
• After termination we delete your data as described in the Privacy Policy. Export your data before closing the account.

13. Changes

We may amend these terms, for example to reflect new features or legal requirements. We will publish the new version here and notify account holders of material changes by e-mail or in the portal at least 14 days before they take effect. Continued use after that date means acceptance. If you do not accept, you may terminate before the change takes effect.

14. Governing law and disputes

These terms are governed by the law of the Republic of Estonia, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The parties will try to resolve disputes by negotiation. Failing that, disputes are settled by the courts of Estonia at the registered seat of MIGLASS OÜ.

15. Miscellaneous

If a provision is found invalid, the rest remains in force and the invalid provision is replaced by the valid provision closest to its purpose. We may assign the agreement in connection with a merger or sale of business. These terms, together with the Privacy Policy and any plan description in the portal, form the entire agreement between us.
